1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Sketchli website at sketchli.com, our free tools (the Idea Reality Check and the AI Readiness Check), our newsletter, and any services offered by Sketchli Pty Ltd ("Sketchli", "we", "us", or "our").
By visiting our website, using our tools, subscribing to our newsletter, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
These Terms are governed by the laws of Victoria, Australia and applicable Commonwealth law. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
2. Our Services
Sketchli provides AI transformation consulting, AI-powered software development, workflow automation, and related technology services to Australian small and medium enterprises ("SMEs").
Our website also offers two free tools — the Idea Reality Check and the AI Readiness Check — that generate a report from the answers you provide. These reports are produced using an AI model (via OpenRouter, routing to Anthropic's Claude models) and are:
- Informational only. They are not professional, financial, or legal advice, and should not be relied on as a substitute for advice from a qualified professional.
- AI-generated, and may be inaccurate. The AI model can get things wrong, miss context, or produce content that doesn't reflect your actual situation. Review any report critically before acting on it.
- Not a guarantee of any outcome. A score, roadmap, or recommendation from either tool does not guarantee any particular business result.
We also send a monthly newsletter to subscribers who opt in. Newsletter and transactional emails (including your report) are sent via Mailgun, and every issue includes an unsubscribe link (see our Privacy Policy).
Engagement of paid services is subject to a separate written agreement or Statement of Work ("SOW") entered into between Sketchli and the client. Nothing on this website constitutes a binding offer to provide services.
We reserve the right to modify, suspend, or discontinue any aspect of our services, tools, newsletter, or website at any time without prior notice.
3. Eligibility
By using this website, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into binding agreements
- You are using the website for legitimate business purposes
- The information you provide to us is accurate, current, and complete
If you are acting on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
4. Intellectual Property
All content on this website — including text, graphics, logos, images, code, and design — is the property of Sketchli Pty Ltd and is protected by Australian and international intellectual property laws.
You may not reproduce, distribute, modify, transmit, or use any content from this website for commercial purposes without our prior written consent.
Client deliverables: Ownership of intellectual property created under a client engagement is governed by the terms of the relevant SOW or client agreement, not by these Terms. Unless otherwise agreed in writing, Sketchli retains ownership of all underlying frameworks, tooling, and pre-existing intellectual property, and grants the client a licence to use deliverables for their intended business purpose.
5. Acceptable Use
You agree not to use our website, tools, or newsletter to:
- Violate any applicable law or regulation
- Transmit harmful, offensive, fraudulent, or misleading content
- Attempt to gain unauthorised access to our systems or data
- Interfere with or disrupt the integrity or performance of our website
- Scrape, crawl, or harvest data from our website without our express permission
- Bypass or attempt to defeat our spam and abuse protections, including our Cloudflare Turnstile check and honeypot fields
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
We reserve the right to terminate access to our website, tools, newsletter, or services for any user who violates these provisions.
6. Confidentiality
Where a client engagement involves the exchange of confidential business information, confidentiality obligations will be set out in the relevant SOW or a separate Non-Disclosure Agreement ("NDA").
Information submitted through our contact form, our free tools, our newsletter signup, or consultation calls will be treated as confidential and used only for the purpose of assessing and delivering the requested services, in accordance with our Privacy Policy.
7. Disclaimers
Our website, tools, and their content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
To the fullest extent permitted by law, Sketchli disclaims all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The website will be uninterrupted, error-free, or free of viruses or other harmful components
- The results of any consultation, engagement, or free tool report will meet your specific expectations
- Any information on the website, or any AI-generated report from the Idea Reality Check or AI Readiness Check, is complete, accurate, or current
Nothing in these Terms limits or excludes any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be limited or excluded by agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Sketchli and its officers, directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our website, tools, newsletter, or services.
Our total aggregate liability to you for any claims arising under or in connection with these Terms or any client engagement will not exceed the total fees paid by you to Sketchli in the 12-month period immediately preceding the event giving rise to the claim.
Where our liability cannot be excluded under the Australian Consumer Law, our liability is limited to the re-supply of the relevant services or payment of the cost of re-supplying the services, at our election.
9. Third-Party Links
Our website may contain links to third-party websites, tools, or resources, including WhatsApp. These links are provided for convenience only and do not constitute an endorsement of those sites or their content.
We have no control over, and accept no responsibility for, the content, privacy practices, or availability of third-party sites. You access them at your own risk and subject to their own terms and conditions.

Your continued use of our website following any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should stop using our website.
